S corp meeting minutes template (Word, free)

Last updated

This s corp meeting minutes template is for a corporation that has elected S status for tax, which in practice usually means a small company owned and run by one to a few people. It covers the two meetings such a company holds each year, the shareholders' meeting and the directors' meeting, often back to back in the same afternoon. The S election is why documentation matters more here than for a plain small corporation: the owners take salary and distributions from the same company, and the minutes are where the decision about how much of each was made and why.

Download the Word file, copy the plain text, or read the filled-in example of a three-shareholder design firm setting officer salaries and a year-end distribution.

Word file (.docx), free and without signing up. Opens in Google Docs and Pages too.

Why the S election makes minutes matter

An S corporation passes its income through to the shareholders, who are usually also its officers and employees. Each owner is paid partly as salary and partly as a distribution, and the two are taxed differently. Tax authorities expect shareholder-employees to be paid a reasonable salary for the work they do before taking distributions, and when they examine an S corporation that question is one of the first they ask. The board minutes are where the company shows it considered the question: what the officer does, how much time it takes, what comparable roles pay, and what salary was set as a result.

Minutes also document the other things that keep the S election intact: that all shares were treated the same for distributions, and that no ineligible shareholder was admitted. None of this needs more than a few sentences a year, but those sentences are hard to reconstruct later.

What an S corporation's minutes should record each year

  • Election of directors by the shareholders, by shares voted.
  • Appointment of officers by the directors, with titles.
  • Officer compensation for each shareholder-employee, with the basis the board considered. Record the kind of comparison data, not a copy of it.
  • Distributions, stated as pro rata by shares with the payment date.
  • Receipt of the prior year's financial statements and tax return.
  • A confirmation that no share transfer or new shareholder has affected eligibility for the election.
  • Benefit decisions: retirement plan contributions, health insurance for shareholder-employees, the expense reimbursement policy.

Two meetings, one afternoon

Shareholders elect directors; directors appoint officers and set their pay. In a company where the same people hold both roles, it is tempting to merge the two into one set of minutes. Keep them separate, even if the second meeting starts a minute after the first ends, because the authority for each decision comes from a different source and a reviewer will look for both. The template is laid out as Part A and Part B for that reason.

What to leave out and what to hedge

  • Do not record tax advice as fact. "The board set a salary of $95,000 having considered the role and regional pay data" is a record; "this salary satisfies the reasonable compensation rule" is a conclusion the minutes should not draw.
  • Do not copy another company's pay figures into the minutes; say what was consulted.
  • Do not record a distribution to one shareholder that the others did not receive pro rata. If someone needs money early, record it as a loan or an advance against a future pro rata distribution, after talking to the accountant.
  • Do not mix the owners' personal finances into the company record.

Written consents and the minute book

Where your state and bylaws allow it, the annual decisions can be adopted by unanimous written consent of the shareholders and of the directors instead of a meeting. Use the same headings. Keep the signed consents or minutes in the minute book with the articles, bylaws, the S election acceptance letter and the share register, so that one folder answers the questions a lender, buyer or examiner is likely to ask.

A4. Confirmation of S status

The shareholders confirmed that no shares had been transferred, no new shareholder admitted and no second class of stock created during the year, and that each shareholder remains an individual resident shareholder. Nora Halvorsen noted that the restricted stock plan discussed in item A5 should be reviewed by counsel for its effect on the election before adoption.

Tips for s corp meeting minutes

  • Record each officer's role and approximate hours next to the salary. A figure without the work behind it is what gets questioned.
  • Have each officer abstain on their own salary and say so, even when the vote is obviously going to pass.
  • State distributions per share, so the record shows all shares were treated alike.
  • Keep the S election acceptance letter in the minute book and refer to the tax year it began in the header.
  • Number shareholder and director resolutions separately (S-2026-1, D-2026-1) so it is clear which body adopted each.
  • Ask the accountant to attend or review the draft; the minutes and the tax return should tell the same story.

Questions

Does an S corp have to hold an annual meeting?

An S corporation is still a corporation, and most state corporation statutes and bylaws expect an annual shareholders' meeting to elect directors and a directors' meeting to appoint officers. Where allowed, these can be done by unanimous written consent. The S election itself is a tax status and does not change the meeting rules; check your state statute and bylaws.

What should S corp minutes say about officer salary?

The officer's title and role, roughly how much time they give the business, the salary set for the coming year, and what the board considered in setting it, such as published pay data for similar roles. Record that the officer abstained on their own salary. Do not state in the minutes that the salary meets any tax test; record the facts and leave the conclusion to your adviser.

Do S corp distributions need to be approved in minutes?

It is strongly advisable. A board resolution records the amount, that it was paid pro rata by shares, the payment date, and that the board considered the company's ability to pay. Pro rata treatment matters because an S corporation may have only one class of stock; distributions that favour one shareholder can raise questions about the election. Ask your accountant before any uneven payment.

Can one person hold all the roles in an S corp and still keep minutes?

Yes. A single shareholder elects themselves as director, and as director appoints themselves as officer. Record both steps, even if it feels formal, and set your own salary with a stated basis. Written consents signed by the sole shareholder and sole director are common for this, where your state and bylaws allow them.

What is the difference between S corp minutes and LLC minutes?

An S corporation keeps shareholder and director minutes with elections, officer appointments and resolutions, because it is a corporation. An LLC keeps member or manager minutes under its operating agreement and usually has no officers to appoint. An LLC that has elected S tax status is a hybrid: it keeps LLC-style minutes but should still document owner salary and pro rata distributions.

Can an AI note taker write S corp meeting minutes?

It can draft a record of the discussion, but the resolutions, share counts, salaries and distribution figures should be checked by the secretary and the accountant before anything is signed. The minute book is a legal and tax record; a transcript or AI summary is a working note that can help produce it, not a replacement for it.
